These Terms and Conditions ("Terms") govern your access to and use of the PostOut service ("Service"), a software-as-a-service platform operated by Eduhook Private Limited, a company incorporated in India with its registered office in Mumbai, Maharashtra ("Company", "we", "us", or "our"). By creating an account, accessing, or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility & Account
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@postout.io of any unauthorised use.
2. The Service
PostOut allows users to schedule and publish content to connected third-party social media platforms (such as X/Twitter, Facebook, Instagram, LinkedIn, Bluesky, Mastodon, and others), and to automate posting from RSS feeds. By connecting a third-party account, you grant us permission to publish content on your behalf subject to the permissions you authorise.
3. Subscription Plans & Billing
- Paid plans are billed in advance on a recurring basis (monthly or annually) until cancelled.
- All fees are exclusive of applicable taxes (including GST), which will be charged where required by law.
- Payments are processed by third-party payment gateways; by subscribing, you agree to their terms as well.
- You authorise us to charge your chosen payment method for each billing cycle.
- Failure to pay may result in suspension or termination of your account.
4. Cancellation
You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; your account will continue to have access to paid features until that date. Please also review our Refund Policy.
5. Acceptable Use
You agree that you will not use the Service to:
- Publish content that is unlawful, defamatory, obscene, hateful, or infringes any third-party rights.
- Distribute spam, malware, or engage in phishing or fraud.
- Violate the terms of service of any connected third-party platform.
- Attempt to gain unauthorised access to the Service, other users' accounts, or our infrastructure.
- Reverse engineer, copy, or resell any part of the Service without written permission.
We reserve the right to suspend or terminate accounts that violate these rules, without refund.
6. Content Ownership
You retain all ownership of the content you upload or publish through the Service. You grant us a limited, non-exclusive licence to store, process, and transmit your content solely for the purpose of providing and improving the Service. You are solely responsible for the legality of your content and for ensuring you have all necessary rights to publish it.
7. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Eduhook Private Limited and is protected by applicable intellectual property laws. Nothing in these Terms transfers any of our intellectual property rights to you.
8. Third-Party Services
The Service integrates with third-party platforms. We are not responsible for the availability, content, or behaviour of any third-party service. Your use of those services is governed by their own terms and privacy policies.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any scheduled post will reach every destination platform successfully.
10. Limitation of Liability
To the maximum extent permitted by law, Eduhook Private Limited and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability in any matter arising out of or relating to these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will continue to apply.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
